These Terms of Service ("Terms") govern your access to and use of DocReceipt ("we," "our," or "us"), including our website, platform, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you confirm that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

DocReceipt is a document workflow platform that enables professional services firms to request, collect, track, and retrieve documents from their clients. The Service includes:

  • A dashboard for firm users to manage document requests and clients
  • A client upload portal for secure document submission
  • Automated email notifications and reminders
  • Document storage and retrieval
  • Team collaboration and role-based access control

3. Account Registration

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately at hello@docreceipt.app if you suspect unauthorized access to your account
  • One person or organization may not maintain more than one free-tier account

4. Subscription and Billing

  • The Service is offered under free and paid subscription plans
  • Paid plans are billed monthly or annually as selected at the time of purchase
  • All fees are quoted in Indian Rupees (INR) and are inclusive of applicable taxes unless otherwise stated
  • You authorize us to charge your selected payment method for recurring subscription fees
  • We reserve the right to change pricing with 30 days' prior notice
  • Failure to pay may result in suspension or termination of your account

5. Free Tier

We offer a free tier with limited features and usage quotas. The free tier is provided "as-is" and may be modified or discontinued at any time. We reserve the right to impose or adjust limits on storage, number of clients, document requests, and team members under the free tier.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or transmit malicious files, viruses, or harmful code
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to send unsolicited communications or spam
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated means (bots, scrapers) to access the Service without our written consent
  • Resell, sublicense, or redistribute the Service without authorization
  • Upload content that infringes on intellectual property rights of others

7. User Content and Data

  • You retain all ownership rights to the documents and data you upload to the Service ("User Content")
  • You grant us a limited license to store, process, and transmit your User Content solely for the purpose of providing the Service
  • We do not access, review, or analyze the contents of your documents except as necessary for technical support (with your consent) or as required by law
  • You are solely responsible for the legality and accuracy of your User Content
  • You represent that you have all necessary rights and permissions to upload and share the documents you submit through the Service

8. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Intellectual Property

  • The Service, including its design, code, features, documentation, and branding, is owned by DocReceipt and protected by intellectual property laws
  • "DocReceipt" and our logo are trademarks of DocReceipt. You may not use them without our prior written consent
  • These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms

10. Third-Party Services

The Service may integrate with or contain links to third-party services. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their respective terms and policies.

11. Service Availability

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service
  • We may perform scheduled maintenance with reasonable advance notice when possible
  • We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control

12. Cancellation and Refunds

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of the current billing period; you will retain access until then
  • We do not offer refunds for partial billing periods, except as required by applicable law
  • Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted
  • You may request a data export before your account is deleted

13. Termination

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms or our Acceptable Use policy
  • Your account is used for fraudulent or illegal activities
  • You fail to pay applicable fees after reasonable notice
  • We are required to do so by law

Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to provide you with an opportunity to export your data before deletion.

14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from harmful components.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCRECEIPT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR INR 5,000, WHICHEVER IS GREATER.

16. Indemnification

You agree to indemnify, defend, and hold harmless DocReceipt and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable laws or third-party rights
  • Your User Content

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

18. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting us at hello@docreceipt.app. We will attempt to resolve the dispute within 30 days. If informal resolution fails, either party may pursue formal legal remedies.

19. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you via email or in-app notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service and may cancel your account.
